Result of Annual General Meeting
The Company is pleased to announce that, at the Annual General Meeting held yesterday, all the Resolutions were duly passed on a poll.
Resolutions 1 to 12 (inclusive) were passed as ordinary resolutions. Resolutions 13 to 16 (inclusive) were passed as special resolutions.
The Board would like to thank shareholders for their engagement and continued support. The Board notes that all the resolutions were passed with a majority in excess of 90%, other than Resolution 14 (the additional authority to disapply pre-emption rights for the purposes of acquisitions and capital investments), which was passed with a majority of 75.08%.
Resolution 14 followed the provisions of the Pre-Emption Group's Statement of Principles for the disapplication of pre-emption rights and reflects UK listed company market practice. The Board considers the flexibility afforded by this authority to be in the best interests of the Company. The Board confirms that it will consult and continue to engage with shareholders to obtain feedback on their concerns with respect to this resolution. The Company will publish an update on this engagement within six months of the AGM and a final summary will be included in the Company's annual report for the financial year ending 31 March 2023.
